- SEC Chair Paul Atkins addressed public concerns after the agency released a new regulatory framework for crypto assets despite the pending CLARITY Act in Congress.
The Securities and Exchange Commission (SEC) just released and subsequently approved its proposal for a new regulatory framework for crypto assets. The rules aim to create “a tailored securities offering regime for certain investment contracts involving crypto assets.”
Paul Atkins, Chairman of the SEC, clarified that they continue to support the pending Digital Asset Market CLARITY Act in Congress amid social media chatter claiming that they are either deliberately putting more pressure on legislators or bypassing the legislative process altogether.
SEC’s Proposed Crypto Asset Framework
On Tuesday, the SEC released and reportedly abruptly approved proposed rules for a new crypto asset framework through a “seriatim” vote. The term “seriatim” is a Latin phrase connoting “one after another” or “consecutively.” In this context, it means that commissioners voted individually on the subject outside a public meeting.
In a nutshell, the new rules would allow a one-time exemption for certain offerings not exceeding $5 million during a four-year period. It would also exempt offerings of up to $75 million during a 12-month timeframe.
On the other hand, the SEC would require issuers to post “principles-based narrative disclosures” for transparency and for the information of investors. For the second exemption, issuers will still have to provide financial statements in accordance with the regulator’s reporting guidelines.
Additionally, the new standards would offer a conditional safe harbor for crypto assets once their issuers have completed or permanently ceased the essential managerial efforts they promised or represented to undertake in the investment contract. Likewise, it would pre-empt certain state securities registration requirements.
The SEC will entertain comments related to the proposed framework for 60 days after its publication.
SEC Chair Addresses Speculations
Some people have criticized the SEC for jumping the gun on crypto asset regulations despite the CLARITY Act still pending in the Senate for a possible vote by September. However, Atkins explained that the agency is only exercising its mandate to modernize federal securities regulations to ensure innovation and investor protection in the financial sector.
Moreover, Atkins reminded the public that he has been clear from the start of his term that he aims to transform the US into a “Crypto Capital of the World.” He believes that they can achieve it by becoming a leader in crypto-asset regulation.
Nonetheless, Atkins underscored the importance of the CLARITY Act in codifying regulatory clarity in the digital asset space and establishing long-lasting protection against uncertainty posed by an “activist SEC,” alluding to the anti-crypto efforts of former SEC Chair Gary Gensler during the Biden administration.
“By moving forward within our current statutory authority, we can help ensure that America remains the world’s premier destination to innovate, to raise capital, and to build the next generation of financial infrastructure,” said Atkins.
